Seller Terms.

Rules for registering, listing products, and selling through KeyStore.

Selling on KeyStore requires real identity, permitted products, and compliance.

These Seller Terms govern your use of KeyStore as a seller within the INNOVAPPSOFT LLC ecosystem, including seller applications, business review, listings, sales, commissions, payouts, holds, suspension, and account or storefront removal for violations.

Acceptance and scope

By applying for, creating, or using a seller storefront on KeyStore, you accept these Seller Terms, the general Terms and Conditions, Privacy Policy, Acceptable Use Policy, AML/CTF Policy, Refund Policy, and any other policy published by INNOVAPPSOFT LLC.

If you act on behalf of a company, MIPYME, LLC, or another entity, you represent that you have authority to accept these terms and operate the storefront for that entity.

INNOVAPPSOFT LLC may reject, pause, or withdraw a seller application when information is incomplete, inconsistent, risky, false, or cannot be reasonably verified.

Eligibility

To sell on KeyStore you must have a KeyPay/KeyCard BBM account in good standing, be at least 18 years old or the age of majority in your jurisdiction, complete required KYC or KYB checks, and keep real, accurate, and updated information.

Each storefront must represent a real identity: private seller, MIPYME, LLC, or other legitimate business. Impersonating people, businesses, brands, affiliations, documents, addresses, or tax information is not allowed.

INNOVAPPSOFT LLC may request additional information, registration documents, official ID, proof of address, licenses, permits, or commercial evidence before or after approving a storefront.

Documents and verification

Documents submitted must be authentic, readable, valid, and correspond to the seller or business applying to sell on KeyStore.

Submitting fake, manipulated, altered, borrowed, purchased, stolen, expired, AI-generated, or mismatched documents is prohibited.

Detection of false documents or misleading information may result in application rejection, suspension, permanent closure, balance holds, feature blocking, and reports to providers or authorities when appropriate.

Permitted products

You may sell only products or services that are lawful, authentic, verifiable, safe, and permitted by INNOVAPPSOFT LLC for KeyStore.

Products must be clearly described, including price, availability, condition, delivery, restrictions, timing, usage instructions, and any information relevant to the buyer.

INNOVAPPSOFT LLC may approve, edit, hide, pause, or remove listings when they affect marketplace safety, experience, legality, reputation, or operation.

Prohibited products and conduct

You may not sell illegal, counterfeit, stolen, misleading, dangerous, unauthorized products, products that infringe trademark, copyright, privacy, or intellectual property rights, or products requiring a license you do not hold.

Weapons, ammunition, explosives, drugs, controlled substances, fake documents, stolen accounts, credentials, malware, fraud services, evasion methods, illegal sexual content, hateful products, sanctioned goods, or any item restricted by law or by payment, shipping, or compliance providers are prohibited.

Manipulating reviews, prices, inventory, availability, search, commissions, payments, disputes, refunds, support, buyer identity, or any internal KeyStore system is prohibited.

Marketplace commission

INNOVAPPSOFT LLC will charge a standard 6% commission on each completed KeyStore sale, unless a different rate is stated in writing, in the seller dashboard, or in a storefront-specific configuration.

The commission is calculated on the gross sale amount before seller payouts and may apply together with processing costs, refunds, chargebacks, taxes, adjustments, penalties, or operation-related charges.

INNOVAPPSOFT LLC may modify the commission or create special plans by notifying the seller through the app, dashboard, email, or official publication. Continued use of KeyStore means acceptance of the current rate.

Payouts, balances, and holds

Seller payouts may be subject to review, availability, payout method, compliance, chargebacks, claims, suspicious activity, or additional verification.

INNOVAPPSOFT LLC may hold all or part of seller balances, earnings, or pending payouts when disputes, suspected fraud, inconsistent documents, AML/CTF risk, policy violations, buyer complaints, chargebacks, or legal requirements exist.

The seller is responsible for taxes, reports, permits, invoices, and legal obligations related to sales, except where INNOVAPPSOFT LLC is legally required to collect, withhold, or report information.

Orders, delivery, and buyer support

The seller must fulfill orders within promised timeframes, deliver real and functional products, respond to reasonable support requests, and cooperate with INNOVAPPSOFT LLC in disputes or reviews.

If a product is not delivered, does not match the description, fails, is invalid, duplicated, expires earlier than stated, or harms the buyer, INNOVAPPSOFT LLC may issue refunds, cancel sales, deduct balances, or take action against the storefront.

Seller policies cannot reduce minimum buyer rights or limit security, compliance, refund, or protection measures applied by INNOVAPPSOFT LLC.

Content, brand, and intellectual property

The seller keeps ownership of names, logos, images, descriptions, and content, but grants INNOVAPPSOFT LLC a non-exclusive, worldwide, royalty-free license to host, display, adapt, translate, and promote that content inside and outside KeyStore as needed to operate the service.

The seller represents that all published content is owned, authorized, accurate, and does not infringe third-party rights.

INNOVAPPSOFT LLC may remove content reported for infringement, misleading content, or content that affects ecosystem safety, reputation, or experience.

Suspension, closure, and removal

INNOVAPPSOFT LLC may warn, limit, hide products, pause payouts, suspend a storefront, hold funds, cancel orders, block an account, remove a storefront, or permanently close seller access if violations, risk, fraud, abuse, false documents, or illegal activity are detected.

Measures may be applied without prior notice when necessary to protect buyers, other sellers, providers, the ecosystem, security, legal compliance, or operational integrity.

Suspension or closure does not remove pending seller obligations, including open orders, refunds, chargebacks, taxes, commissions, indemnities, investigations, or legal requests.

Seller responsibility

The seller is responsible for products, listings, prices, promises, documents, legal compliance, taxes, support, delivery, errors, claims, damages, sanctions, and any dispute arising from seller activity on KeyStore.

The seller agrees to defend, indemnify, and hold INNOVAPPSOFT LLC harmless from claims, losses, damages, sanctions, costs, or expenses related to products, content, documents, violations, or commercial activity.

KeyStore is provided as available. INNOVAPPSOFT LLC does not guarantee sales volume, traffic, revenue, ranking, visibility, permanent approval, or continuity of seller features.

Changes and contact

INNOVAPPSOFT LLC may update these Seller Terms for legal, operational, technical, commercial, security, or compliance reasons.

Changes take effect when published or on the date stated in the applicable notice. Continuing to use KeyStore as a seller means accepting the current version.
